The Hanmi Pharmaceutical Group owner's family raised funds from private equity funds (Ladefangs, founded by a former KCGI) and foreign lenders (a company that makes repurchase loans with shares as collateral) because of the inheritance tax on the holding company (Korea-US Science) that Chairman Lim Sung-ki passed down after his death in 20 years.

Due to Chairman Lim's sudden death, the inheritance shares were distributed according to the law, and his wife Song Young-sook became the largest individual shareholder and took office as chairman.

Since then, two sons, including Hanmi Pharmaceutical President Im Jong-yoon, have been gradually excluded from management, and their daughter Lim Joo-hyun, president of Hanmi Science, has joined hands with her mother to effectively take control of Hanmi Pharmaceutical Group.

In this situation, it was suddenly revealed last week that OCI Group and Hanmi Pharmaceutical Group are conducting integrated management.  

According to the disclosure, Song Young-sook will collect cash by selling part of her stake in Korea-U.S. Science to OCI Holdings.

All of Lim Joo-hyun's shares and Song Young-sook's remaining shares will be investments in kind. In other words, the two will become shareholders of OCI Holdings.

And Korea-US Science raises about 200 billion won by making a capital increase against OCI Holdings.  

If this is completed, OCI Holdings will become the largest shareholder with a 27% stake in Korea-U.S. Science, while Lim Joo-hyun and Song Young-sook will hold about 10% of OCI Holdings.

During the decision, Hanmi Pharmaceutical President Lim Jong-yoon was completely excluded. He said he had no idea.

"The company's competitiveness has been undermined by the dogmatic management of the owner family (referring to Song Young-sook and Lim Joo-hyun)," he told Hankyung. "We will prepare legal action." The future food industry, which is not in Korea but in Taiwan, is in the future
