The United States of America and the Islamic Republic of Iran (hereinafter referred to as the "Parties") have jointly agreed in good faith on the following:

Paragraph 1 – Stop hostilities
By signing this Memorandum of Understanding, the Parties and their allies on both sides of the current war declare the immediate and permanent end of all military operations on all fronts (including Lebanon). The Parties promise not to initiate war or military operations against each other, refrain from threatening or using force against each other, and respect Lebanon's territorial integrity and sovereignty. The final agreement will confirm the permanent end of the war on all fronts, including Lebanon, and will include other provisions of this paragraph.

Paragraph 2 – Sovereignty and non-interference
The parties respect mutual sovereignty and territorial integrity, and promise not to interfere in each other's internal affairs.

Paragraph 3 – Final Agreement Negotiation Schedule
The parties promise to negotiate and conclude a final agreement within a maximum of 60 days, and can only be extended with mutual consent.

Section 4 – Sea blockade and power deployment
Shortly after the signing of this memorandum of understanding, the United States of America will begin to remove all sea blockades and other obstructions or obstacles imposed on the Islamic Republic of Iran, and will completely lift the blockade within 30 days. During this time, ship operations will gradually recover to pre-war levels. The United States of America also pledges to withdraw its troops from areas near the Islamic Republic of Iran within 30 days of signing the final agreement.

Port 5 – Strait of Hormuz and maritime security
Following the signing of this Memorandum of Understanding, the Islamic Republic of Iran will do its utmost to ensure the safe and free passage of merchant vessels through the Strait of Hormuz for 60 days, with no fee in either direction (from Persian Gulf to the Sea of Oman, vice versa). Section 6 – Reconstruction and Economic Development
The United States of America, in coordination with its regional partners, promises to develop a definitive and mutually agreed reconstruction and economic development plan worth at least 300 billion U.S. dollars for the Islamic Republic of Iran. The mechanism of implementation of the plan will be finalized as part of the final agreement within 60 days. The United States of America will grant all permits, exemptions, and authorization necessary for related financial transactions.

Section 7 – Rescission of Sanctions
The United States promises to lift all sanctions against the Islamic Republic of Iran on an agreed-upon schedule, including a U.N. Security Council resolution, an International Atomic Energy Agency (IAEA) Council resolution, and all unilateral U.S. first and second sanctions. The parties acknowledge the significance of the sanctions issue and express their intention to resolve them immediately in negotiations to reach a mutual agreement.

Paragraph 8 – Nuclear issue
The Islamic Republic of Iran reaffirms that it will not acquire or develop nuclear weapons. The parties agree to resolve the disposal of Iran's stockpiled enrichment through a mutually agreed mechanism, the basic method being field dilution under IAEA oversight. This is subject to the timeline for the lifting of sanctions in paragraph 7. The parties will also discuss Iran's enrichment activities and other nuclear-related matters within a satisfactory framework to be agreed upon in the final agreement. The final agreement will confirm the provisions of this paragraph. The parties acknowledge the critical importance of these nuclear issues and express their intention to resolve them immediately in negotiations.

Paragraph 9 – Maintaining status quo pending final agreement
Awaiting a final agreement, the parties agree to maintain the status quo: the Islamic Republic of Iran will maintain its current nuclear program, and the United States will not impose new sanctions or deploy additional troops to the region.

Section 10 – Oil Export Exemption
Immediately after the signing of this Memorandum of Understanding until the sanctions are lifted, the U.S. Treasury will issue an exemption authorizing the export of Iranian crude oil, petroleum products, derivatives and all related services (including banks, insurance and transportation).

Paragraph 11 – Access to frozen funds and assets
The United States of America will make all frozen or restricted Iranian funds and assets fully available. Upon implementation of this Memorandum of Understanding, the Parties will mutually agree to the procedures concerning the release and use of these funds during negotiations. These funds will be available for payment to the final beneficiaries designated by the Central Bank of the Islamic Republic of Iran. The United States of America will issue all necessary permits and permits for this purpose.

Section 12 – Monitoring Mechanism
The Parties agree to establish an administrative mechanism for monitoring the implementation of this Memorandum of Understanding and the implementation of future final agreements.

Paragraph 13 – Order of negotiation
Following the signing of this Memorandum of Understanding, and subject to the commencement and continuous implementation of paragraphs 1, 4, 5, 10, and 11, the Parties will initiate negotiations on the remaining elements of the Final Agreement.

Paragraph 14 – Approved by the United Nations Security Council
The final agreement will be approved by a binding U.N. Security Council resolution.
